Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Radiant Intel, Inc. ("Radiant Intel," "we," "us," or "our") governing your access to and use of the Radiant Intel platform and services (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

Description of Service

Radiant Intel provides an AI-powered intelligence and research platform designed for investment professionals, policy analysts, and enterprise users. Our Service includes:

• Aggregation and analysis of policy, regulatory, and geopolitical information from public sources
• AI-generated reports and briefings based on primary source documents
• Regulatory monitoring and watchlist tracking
• Custom research and analysis tools

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

User Accounts

To access most features of the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

Subscription and Payment

Paid Subscriptions

Access to certain features requires a paid subscription. By subscribing, you agree to pay all fees associated with your chosen plan. Fees are billed in advance on a monthly or annual basis, depending on your subscription.

Payment Processing

Payments are processed by Stripe, Inc. By providing payment information, you authorize us to charge your payment method for all fees due. You are responsible for providing accurate billing information.

Renewals and Cancellation

Subscriptions automatically renew unless cancelled before the end of the current billing period. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; no refunds are provided for partial periods.

Price Changes

We may change our prices with 30 days' notice. Price changes take effect at the start of the next billing period following notice.

Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Redistribute, resell, or sublicense access to the Service or its content without our written permission
• Attempt to gain unauthorized access to the Service or its systems
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated means to access the Service beyond what we explicitly permit
• Interfere with or disrupt the Service or its infrastructure
• Transmit malware, viruses, or other harmful code
• Misrepresent your identity or affiliation
• Use the Service for any illegal purpose, including market manipulation, insider trading, or money laundering

We reserve the right to investigate and take appropriate action against violations of this policy, including suspension or termination of access.

Intellectual Property

Our Rights

The Service, including its design, features, AI models, algorithms, and proprietary analysis, is owned by Radiant Intel and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription.

Your Content

You retain ownership of any content you upload or create within the Service, such as notes, custom queries, and saved configurations. You grant us a limited license to use, store, and process your content solely to provide and improve the Service.

Feedback

If you provide feedback or suggestions about the Service, you grant us the right to use that feedback without restriction or compensation.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RADIANT INTEL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless Radiant Intel and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit or create through the Service

Termination

You may terminate your account at any time by contacting us or using the account deletion feature. We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice.

Upon termination, your right to use the Service ceases immediately. We may retain certain information as required by law or for legitimate business purposes.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Washington, D.C. You agree to waive any right to a jury trial or to participate in a class action.

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.

Changes to These Terms

We may revise these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also notify you by email.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Radiant Intel regarding the Service.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
• Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
